Corporate Governance Officer

The Company, by resolution of the 11th Board of Directors of the 9th term on February 23, 2021, designated Manager Lin Kun-jie of the Management Office to concurrently serve as the Corporate Governance Officer of the Company to safeguard shareholder rights and strengthen the functions of the Board of Directors.

Assistant Manager Lin Kunjie is a certified public accountant and has been in charge of the company’s finance, equity affairs and corporate governance for more than three years.



Primary Responsibilities of the Corporate Governance Officer:

(1)Handling company registration and changes in registration.

(2)Handling matters related to meetings of the Board of Directors and Shareholders’ Meetings in accordance with law, and assisting the Company in complying with relevant laws and regulations of the Board of Directors and Shareholders’ Meetings.
(3)Preparing minutes of the Board of Directors and Shareholders’ Meetings.
(4)Providing the information required for directors to perform their duties, and providing updates on the latest laws and regulations related to the management of the Company so as to assist directors in complying with the law.

(5)Matters related to investor relations and other relevant affairs.

Operational Performance for 2025:
  1. Assisting independent directors and non-independent directors in performing their duties, providing necessary information, and arranging continuing education for directors:
 
    (1) Providing directors with the required corporate information and maintaining smooth communication and exchange between directors and business unit heads.
 
    (2) Assisting in arranging meetings when independent directors, in accordance with the Corporate Governance Best Practice Principles, need to separately meet with the Head of Internal Audit or the CPA to understand the Company’s financial and business matters.
 
    (3) Arranging at least 6 credits of continuing education courses for Board members each year (see the Company’s Annual Report p.59 “Directors’ Continuing Education in 2022”).。
 
    (4) Evaluating the purchase of appropriate directors’ liability insurance.。
  2. Assisting the Board of Directors and Shareholders’ Meetings in procedural and compliance matters.
  3. Drafting and serving Board meeting notices to directors at least seven days prior to meetings, convening meetings, and providing meeting materials; reminding directors in advance in matters requiring recusal due to conflict of interest; and completing Board minutes within 20 days after meetings.
  4. Handling pre-registration for Shareholders’ Meeting dates in accordance with law, preparing meeting notices, manuals, and minutes within the statutory period, and handling changes in registration for amendments to the Articles of Incorporation or director elections in accordance with law.
